1. Acceptance of Terms

By accessing and using Datamatic Software's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Datamatic Software provides web development services including but not limited to:

  • Custom web application development
  • Bubble.io platform development
  • AI integration and development
  • Supabase backend development
  • Shopify store development
  • Workflow automation services
  • Digital transformation consulting

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete project requirements
  • Respond to requests for information and feedback in a timely manner
  • Provide necessary access to systems, accounts, and resources
  • Make payments according to agreed terms
  • Respect intellectual property rights
  • Use delivered services in compliance with applicable laws

4. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • Payment schedules will be agreed upon before project commencement
  • Late payments may incur additional charges
  • All prices are exclusive of applicable taxes
  • Refunds are subject to the specific terms of each project agreement

5. Intellectual Property Rights

5.1 Client Content

You retain ownership of all content, data, and materials you provide to us. You grant us a license to use such materials solely for the purpose of providing our services.

5.2 Work Product

Upon full payment, you will own the custom work product created specifically for your project. We retain rights to our proprietary tools, methodologies, and general knowledge.

5.3 Third-Party Components

Some projects may include third-party components subject to their own licenses. We will inform you of any such components and their licensing requirements.

6. Confidentiality

We will maintain the confidentiality of all client information and project details. We will not disclose confidential information to third parties without your written consent, except as required by law.

7. Project Timeline and Deliverables

Project timelines and deliverables will be specified in individual project agreements. Delays caused by:

  • Client delays in providing required information or feedback
  • Changes to project scope or requirements
  • Third-party dependencies beyond our control

may result in timeline adjustments and additional costs.

8. Limitation of Liability

To the maximum extent permitted by law, Datamatic Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of our services.

9. Warranty and Support

We provide a limited warranty on our work product for 30 days after delivery. Support and maintenance services are available under separate agreements.

10. Termination

Either party may terminate a project agreement with written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work product
  • Confidentiality obligations will continue to apply

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of Mexico, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from these terms or our services will be resolved through good faith negotiations. If negotiations fail, disputes will be resolved through binding arbitration.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of significant changes via email or through our website. Continued use of our services after changes constitutes acceptance of the new terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.
